The Deed of Declaration of Trust (Section 6.1) establishes a 7 person Board of Trustees. One of the seven is required to be Puerto Rico's Secretary of Economic Development and Commerce or his designee.

Ernesto Rivera Umpierre, Esq., was designated Board Chair in August 2025 by Puerto Rico Secretary of Economic Development and Commerce Sebastián Negrón Reichard.
He currently serves as Director to the Energy Policy Program and Special Aide to the Secretary of the Department of Economic Development and Commerce of Puerto Rico (DDEC).
Prior to this role, Mr. Rivera Umpierre served as Senior Policy Advisor in Washington, DC to the U.S. Department of Energy (DOE) within the Grid Deployment Office (GDO) – the Territory and Recovery Assistance Program, a team fully dedicated to the recovery efforts supporting and providing technical assistance to the Government of Puerto Rico in the implementation of federal recovery funds for the Island’s electric sector with a commitment to supporting Puerto Rico’s recovery. All this, through equitable, sustainable, and resilient solutions by working closely with the Government of Puerto Rico to maximize the flexibility of funding, including the ability to pursue renewable energy resources and help support the island’s goals for energy grid recovery and transformation, by encouraging communities to develop plans that address long-term risks, such as climate change, and promote resilience through hazard-resistant design to achieve risk reduction.
Prior to joining the DOE, he was the Director of Legal Affairs (General Counsel) and Senior Policy Advisor to the Puerto Rico Federal Affairs Administration(PRFAA) – Office of the Governor of Puerto Rico in Washington, DC. Ernesto is a Public Policy professional with experience in the negotiation and implementation of Public Private Partnerships (P3”) within the government of Puerto Rico. From 2011 to 2013, Ernesto acted as In-House Counsel to the Puerto Rico Public Private Partnerships Authority(“P3 Authority”) in the procurement, development, award and implementation of the P3 contract to finance, operate, maintain and improve the Luis Muñoz Marín airport.
Rivera Umpierre holds a Bachelor of Arts degree in Economics from Northeastern University and a Juris Doctor from the Pontificia Universidad Católica de Puerto Rico. He is a licensed attorney admitted to practice law in Puerto Rico, the State of New York, the District of Columbia, the U.S. District Court for Puerto Rico, and the U.S. First Circuit Court of Appeals.

Ms. Díaz Rivera is General Counsel and Administrator of the Puerto Rico Science and Technology Trust. She serves at the Vice Chair of the Board of Trustees of the Puerto Rico Green Energy Trust.
At the PR Science and Technology Trust, Ms. Díaz Rivera advises the Chief Executive Officer and the Trust Division Managers of applicable regulations, processes and procedures related to the administration, human resources, and general services of the Trust. Prior to joining the Trust, she held various positions at Puerto Rico’s top law firms, where her practice covered a broad range of matters in the areas of real estate, environment, land use and telecommunications, with particular emphasis in real estate development, permitting matters and related disputes at the administrative and judicial levels. She also represented clients in commercial transactions.
Ms. Díaz Rivera was also Deputy Advisor to the Governor of Puerto Rico for Energy, Environment and Infrastructure. In that capacity, she collaborated in the drafting of legislation and regulations and aided in the development and interpretation of public policy.Ms. Díaz Rivera holds a Bachelor of Arts degree from the University of Pennsylvania and a Juris Doctor degree from Fordham University. She is admitted to practice before the state courts of the Commonwealth of Puerto Rico, the State of New York and the State of New Jersey, the federal District Court for the Districts of Puerto Rico and New Jersey and the Court of Appeals for the First Circuit. Ms. Díaz Rivera is also notary public and a certified mediator.

Mr. Díaz Galarza is currently Director of Energy, Sustainability and Infrastructure at Guidehouse, a leading global provider of consulting services to the public sector and commercial markets, with broad capabilities in management, technology, and risk consulting.
Mr. Díaz-Galarza has over the last 23 years, held a variety of roles in project and program management, senior management, and executive roles within the private sector and the local government. In government, he served as executive director for the Puerto Rico Energy Affairs Administration. In the private sector, prior to working at Guidehouse, he led projects as Vice President of Operations for Dynamic Solar Solutions – a leading photovoltaic systems installer in Puerto Rico.
Mr. Díaz Galarza holds a Bachelor’s Degree in Science of Civil Engineering with a concentration in Project Management from the Polytechnic University in Puerto Rico. -
Jorge Camacho is a professional electrical engineer registered in the District of Columbia, Florida, and Puerto Rico and former Chief of Infrastructure and System Planning at the DC Public Service Commission (DCPSC) in Washington, DC with 25+ years of experience working and consulting in the energy field. His experience includes positions with the Louisiana Power & Light where he maintained the underground electric distribution system of downtown New Orleans, the Intelligence Community in Washington, DC where he addressed issues related to energy, and technical consulting engagements pertaining the power sector across the United States and South America.
Mr. Camacho currently advises and provides expert witness testimony on behalf of government entities and counsels trade organizations in the areas of utility capital expenditures, transmission planning, renewable energy interconnection, bulk electric system power flow analysis and physical security, resource adequacy, integrated distribution system planning and associated operational integration of smart inverter functionality. He has served in the National Electrical Safety Code ANSI C2 – in representation of NARUC – and the IEEE STD 1547 Conformity Assessment committees and assisted the U.S. Department of Energy redact its Modern Distribution Grid Report when at the DCPSC.
A native of Puerto Rico, Mr. Camacho holds bachelor's and master's degrees in electrical engineering from Tulane and Central Florida universities, respectively.

Sergio Carrillo is Managing Director of Clean Energy Incentive Programs with the Connecticut Green Bank, where he oversees all programs and efforts designed to deploy clean energy through incentives. These programs include the Residential Solar Investment Program (RSIP), the Smart-E Loan, and the Solar for All Program.
Before joining the Connecticut Green Bank, Mr. Carrillo worked with Chesapeake Utilities Corporation where he held several positions, including Manager of Rates, Contracts and Regulatory Affairs, and most recently acted as Director of Corporate Development, overseeing strategy development and implementation. Mr. Carrillo also has extensive experience leading retail electricity pricing to residential, commercial, and industrial customers, as well as wholesale pricing procurement processes. Originally from Venezuela, Mr. Carrillo holds a B.S. degree in Civil Engineering, a M.Sc. in Petroleum and Natural Gas Engineering from Penn State University, and an MBA from Duke University – The Fuqua School of Business. -
Ricardo (Rick) Nogueira is an expert on climate finance, international development, and sustainable investing. His clients include major philanthropies, governments, and multilateral development banks. Rick is also the founder of the Tagus Roundtable in Lisbon which supports promising sustainable finance concepts and teams by providing a forum for constructive feedback, networking, and visibility. He is also a Member of the Board of Washington, DC’s Green Finance Authority, the first municipal Green Bank in the U.S. The DC Green Bank leverages public capital to increase and accelerate private investment in DC for clean energy, energy efficiency and climate resiliency. Rick is also a member of the Green Climate Fund's (GCF) independent Technical Advisor Panel (iTAP), which advises the GCF Board on all funding decisions. He previously served as Senior Advisor on Climate Finance in the U.S. Department of State during the Obama administration. He was a U.S. board member of the GCF where he oversaw all GCF related matters, including initial resource mobilization, institution building, strategy, and public outreach. Prior to public service, Rick spent 10 years in private sector fund management with a focus on carbon markets and clean energy. He was the founder and Managing Director at Leaf Clean Energy Company, a private equity fund targeting clean energy investments across the Americas. Rick also has extensive legal experience at Van Ness Feldman, an energy and environmental boutique, and Felsberg & Associados. Rick obtained his B.A. from Lafayette College and J.D. from Seton Hall School of Law.

Mr. Torbert is Head of Programs for Third Derivative, a cleantech venture capital firm. Mr. Torbert was previously a Business Executive on District Systems and Energy with Google, focused on clean and resilient microgrids for mixed-use urban districts and renewable energy deployment. Before that, he was a Senior Principal at Rocky Mountain Institute (RMI), overseeing decarbonization programs in Southeast Asia, Latin America, and the Caribbean and supporting Puerto Rico's energy transition and the implementation of Act 17. It was through that work in Latin American and Puerto Rico that he became fluent in Spanish. Mr. Torbert specializes in integrated energy planning, inclusive multi-stakeholder facilitation, and renewable and efficiency finance for innovative technologies to expand and accelerate the transition to a global clean energy economy.
Prior to RMI, Mr. Torbert was a consultant with Booz Allen Hamilton in Washington D.C., working on software implementation and strategic management projects for the U.S. Army.Mr. Torbert has a Bachelor of Arts, International Relations and Business Finance, from College of William and Mary.

Nellie Gorbea has over 30 years of leadership experience across government, nonprofit, and for-profit sectors. Known for her ability to drive innovation, diversity, and organizational change, she has consistently transformed organizations.
In 2024, she became the founding President and CEO of the Puerto Rico Green Energy Trust, dedicated to ensuring clean, affordable, and reliable energy to all in Puerto Rico. The Trust funds research, development, and infrastructure projects focused on renewable energy.
As Rhode Island's Secretary of State (2015–2023), Gorbea led technological advancements, increased business incorporations by 70%, boosted civic engagement, and achieved record voter turnout during the COVID-19 pandemic. In 2014, she became the first Hispanic elected to statewide office in New England.
Previously, she was the founding executive director of HousingWorks RI, a community economic development program officer at The Rhode Island Foundation, an associate at Fleet Securities, and an economic advisor to the Governor of Puerto Rico.
Gorbea has served on numerous nonprofit boards, including the National Association of Latino Elected and Appointed Officials (NALEO), United Way of RI, and Women's Fund of RI. She is currently on the advisory boards of The Ascend Fund, Grupo 21, and a Board member of the Touro Synagogue Foundation in Newport, RI.
A native of Puerto Rico and mother of three, Gorbea holds a master’s degree in public administration from Columbia University and a bachelor’s from Princeton’s School of Public and International Affairs. She is enrolled in Yale’s Certificate Program in Financing and Deploying Clean Energy.

Marisol Bonnet joined the Puerto Rico Green Energy Trust in 2025 as Director of Programs, bringing over a decade of leadership experience at the intersection of energy policy, infrastructure, and resilience. As the Trust’s Program Director, she oversees the development and implementation of programs to facilitate access to financing for green energy projects, working closely with government, industry, and community partners to drive inclusive, sustainable solutions.
Prior to joining the Trust, Marisol served as Senior Advisor to U.S. Secretary of Energy Jennifer M. Granholm, leading federal efforts to support Puerto Rico’s energy recovery, including the deployment of over $2.5 billion in resilience and renewable energy investments. At the U.S. Department of Energy, she led interagency task forces, directed multi-million dollar technical assistance projects, and advanced national research initiatives on grid modernization and disaster recovery.
Marisol is known for her ability to navigate complex challenges, foster strong partnerships across sectors, and remain deeply grounded in the needs of the communities she serves. A native of Puerto Rico, she holds a B.S. in Environmental Engineering from City College of New York and is a certified Project Management Professional.

Eric Britton joined the Puerto Rico Green Energy Trust in 2025 as Senior Investment Officer, bringing over eight years of experience in clean energy finance, project development, and international advisory work. In this role, he leads the origination, structuring, underwriting, and execution of clean energy and sustainable infrastructure investments to catalyze private capital and expand access to clean, affordable, and reliable energy.
Prior to joining the Trust, Eric served as Senior Technical Project Manager at the U.S. Department of Energy, where he directed the $1 billion Puerto Rico Energy Resilience Fund and structured over $500 million in blended- and tax equity-financed projects for low-income housing. He also managed technical advisory efforts to help inform $12 billion in federal recovery funds for the Puerto Rico grid. Eric was recognized for accomplishments in this role with the 2024 U.S. DOE Secretary's Honor Awards.
Eric previously worked at international nonprofits and multilateral organizations in the areas of economic and financial analysis, business development, and project management. Eric holds a Master of Science in Global Business and Finance from Georgetown University and a Bachelor’s degree from the College of Charleston School of International Relations.

Enid Flores is an attorney with over 20 years of experience in the banking industry, both locally and internationally. She has held various management and executive roles, including risk management, commercial credit, and business development. Flores has also worked extensively with non-profits, helping secure financing and providing business technical support. She became the Director of Finance and Administration of the Puerto Rico Green Energy Trust in 2024.
Her finance career began at Banco Santander, where she eventually managed a $1 billion portfolio and 20,000 clients, driving a $30 million loan increase. She later served as executive vice president at Banco de Desarrollo Económico para Puerto Rico and helped establish Puerto Rico's first micro-finance institution, Microfinanzas Puerto Rico, through Fundación BBVA.
Flores co-produces and co-hosts Tu Salud Financiera, Puerto Rico’s first live financial TV show. In 2023, she published Hasta que el dinero nos separe, a book on managing finances in relationships. Flores holds a Juris Doctor from the University of Puerto Rico School of Law and graduated with honors in political science and comparative literature from Washington University in St. Louis. In 2021, she became the first Latina Moderator of the Presbytery of Florida and the Caribbean of the Evangelical Presbyterian Church. She also chairs the Tina Hills Prize for non-profit excellence at Fundación Ángel Ramos and serves as Chair of the Board of the Puerto Rico Public and Applied Social Science Workshop.
